Univium Terms & Conditions for Retainer Services

By purchasing any Univium retainer package or service via Stripe or through direct invoice, you acknowledge that you have read, understood, and agree to the following terms:
1. Engagement Scope
Univium provides consulting, development, and automation services under an hourly retainer model. The scope of work and deliverables will be collaboratively defined and prioritized based on your retainer level and available hours.
Univium does not guarantee completion of any specific deliverable unless explicitly agreed upon in writing.
2. Hours & Usage Policy
- Retainers are measured in hourly blocks.
- Hours are tracked against actual time spent on planning, building, consulting, testing, communication, and documentation.
- Retainer hours are valid for the calendar month unless otherwise stated. Unused hours do not roll over to future months.
- It is your responsibility to initiate and coordinate tasks within the purchased retainer window.
3. Payment Terms
- Payment is due at the time of purchase, via Stripe or invoice.
- Work will not begin until payment is confirmed
- Retainers are billed in advance on a monthly or one-time basis, depending on the plan.
4. Refund Policy
Due to the advisory and time-based nature of our services, all purchases are non-refundable once work has commenced. Partial refunds for unused hours are not available unless explicitly agreed upon in writing.
5. Changes & Cancellation
- Monthly retainers may be upgraded, downgraded, or canceled prior to the next billing cycle.
- Changes must be requested at least 5 business days before the end of your current cycle.
- Univium reserves the right to pause or cancel an engagement due to non-payment, scope misalignment, or inappropriate behavior.
6. Communication & Delivery
- All communication and deliverables will be managed via agreed-upon channels (e.g. Slack, Airtable, Notion, Loom, etc.).
- Response times and turnaround speed may vary based on retainer tier and task complexity.
7. Confidentiality & Data Handling
Univium agrees to treat all client materials, credentials, and proprietary information with strict confidentiality. Any access to systems or data will be used solely for the purpose of fulfilling agreed-upon services.
8. Legal & Liability
All work is provided on a best-effort basis. Univium is not liable for:
- Indirect or consequential damages
- System downtime or data loss
- Business decisions made based on implementation outputs
9. Acceptance of Terms
By submitting payment via Stripe or other approved channels, you acknowledge that you have read and agree to be bound by these Terms & Conditions.
